1. Introduction and definitions

1.1 These Terms & Conditions (“Terms”) govern your purchase and use of Tickets through the FoundTix platform, operated by FoundTix Ltd (“FoundTix”, “we”, “us”, “our”), a company registered in England and Wales (Company No: 17238343), registered office 128 City Road, London EC1V 2NX, United Kingdom.

1.2 By purchasing a Ticket through FoundTix, you (“you”, “the buyer”, “the customer”) agree to be bound by these Terms.

1.3 In these Terms:

(a) “Event” means any ticketed event for which Tickets are sold through FoundTix — for example a concert, festival, club night, conference, exhibition, talk, screening, comedy or theatre performance, or sporting event.

(b) “Organiser” means the promoter or entity responsible for staging the Event and selling Tickets through the platform. The Organiser is the merchant of record for your purchase.

(c) “Ticket” means the revocable licence to attend an Event, issued in electronic or PDF form.

(d) “Order” means your completed request to purchase one or more Tickets, accepted once checkout completes and a confirmation is issued.

2. Role of FoundTix

2.1 FoundTix provides the ticketing platform and processes payment on behalf of the Organiser. The Organiser is the merchant of record and is solely responsible for staging and delivering the Event.

2.2 FoundTix is not the Organiser of any Event unless expressly stated. Your contract for admission to an Event is between you and the Organiser.

2.3 Additional terms imposed by the venue or Organiser may also apply. Where those terms conflict with these Terms, these Terms prevail unless stated otherwise.

3. Ticket purchase

3.1 Tickets are purchased online through the platform. By completing a purchase, you confirm that the information you provide is accurate and you consent to these Terms.

3.2 Events may carry age restrictions, security requirements, or other venue rules. It is your responsibility to check and comply with these before purchasing. The age restriction for each Event is shown on the Event page and on your Ticket.

3.3 Neither FoundTix nor the Organiser is responsible if you or members of your party are refused entry or removed from the venue for failing to comply with age restrictions or venue policies, and no refund is due in those circumstances.

4. Pricing and payment

4.1 The price shown is the total amount payable, inclusive of all applicable fees and taxes. Where a booking fee applies to your Order, it is included in the price shown to you before you pay — it is never added afterwards or revealed only at checkout.

4.2 Payment must be made using an approved payment method. If your payment is declined, your Order will not be processed and no Tickets will be issued.

4.3 FoundTix does not provide ticket insurance. If you require cover against being unable to attend, you should arrange it independently.

5. Delivery of Tickets

5.1 Tickets are delivered electronically. After a successful purchase you will receive a confirmation email with your PDF Ticket(s) attached.

5.2 If you do not receive your Tickets within a reasonable time, contact FoundTix support or the Organiser using the details in your confirmation email.

6. Refunds, cancellations and changes

6.1 Change of mind.

(a) You may cancel your Order within twenty-four (24) hours of purchase for a full refund (the “Change of Mind Period”), except where your purchase was made within twenty-four (24) hours of the Event start time, in which case no change-of-mind refund is available.

(b) No other refunds are available for change of mind.

6.2 Event cancellation.

(a) If an Event is cancelled and will not be rescheduled, you are entitled to a full refund of the Ticket price.

(b) Refunds are issued only to the original purchaser and only to the original payment method, regardless of who ultimately holds or uses the Ticket.

6.3 Rescheduling.

(a) If an Event is postponed or rescheduled, your existing Ticket will remain valid for the new date and we will notify you once we are aware.

(b) If the new date is one (1) month or more away, you have fourteen (14) calendar days from the date of notification to request a full refund.

(c) If the new date is less than one (1) month away, you have seven (7) business days from notification, or until forty-eight (48) hours before the new Event start time, whichever is sooner, to request a full refund.

(d) Refund requests made after these periods may be declined except where required by law.

6.4 Change of venue.

(a) If the venue of an Event changes, we will notify you as soon as reasonably possible.

(b) You have seven (7) business days from notification, or until forty-eight (48) hours before the Event start time, whichever is sooner, to request a full refund.

6.5 Change of headline act or principal participant.

(a) For a single-headline Event, if the advertised headline act — or, for non-performance Events, the advertised keynote speaker or principal billed participant — changes, we will notify you as soon as reasonably possible, and you have seven (7) business days from notification, or until forty-eight (48) hours before the Event start time, whichever is sooner, to request a full refund.

(b) For festivals, multi-artist bills, multi-speaker conferences, “battle of the bands” and similar multi-participant Events, no refund is available for a change to, or withdrawal of, any individual act or participant, as the Event is the programme as a whole rather than any single performer or speaker.

6.6 Minor changes.

(a) Event details including supporting acts, set times and running order may change. These are minor changes that do not materially alter the Event, and no refund is available for them.

6.7 How to request a refund.

(a) Where you are entitled to a refund under this clause 6, follow the instructions in the notification email you receive, or contact FoundTix support, before the applicable deadline.

(b) Refunds are processed to the original payment method. Processing times depend on your payment provider.

(c) Refunds are issued only to the original purchaser, regardless of who holds or uses the Ticket.

7. Ticket security and gifting

7.1 Unless stated otherwise for a particular Event, Tickets are not name-specific and may be gifted to friends or family for their attendance.

7.2 Each Ticket’s QR code is valid for one (1) entry only. If a Ticket is copied, shared or duplicated, only the first valid scan will be admitted; any subsequent presentation may be refused without refund.

7.3 You are responsible for keeping your Ticket secure. Neither FoundTix nor the Organiser is liable for any loss arising from a Ticket being shared, copied, forwarded or otherwise made available without your authorisation.

7.4 Gifting a Ticket permits the recipient to attend the Event only and does not transfer any contractual rights under these Terms. In all matters including refunds, FoundTix communicates only with, and issues any refund only to, the original purchaser.

8. Resale

8.1 We may prohibit or restrict the resale of Tickets. This does not prevent you gifting a Ticket under clause 7.

8.2 Reselling a Ticket above face value, or using a Ticket for unauthorised commercial purposes, may render the Ticket void and result in refused admission without refund.

8.3 FoundTix resale facility. Where available for an Event, FoundTix may offer an official facility that lets you list a Ticket for resale at face value through the platform. This is the only authorised way to resell a Ticket; clauses 8.1–8.2 continue to apply to any other resale.

8.4 Eligibility. You may list a Ticket only while it is valid, your Order is paid, the change-of-mind refund window (clause 6.1) has closed, and the Event is more than 24 hours away. Listed Tickets are offered to buyers only after the promoter’s own available inventory is exhausted.

8.5 If it sells. When a listed Ticket sells, it transfers to the new buyer and you are automatically refunded the face value, less the Booking Fee FoundTix retains on resale, to your original payment method. The Booking Fee is not refundable on a resale. FoundTix communicates with, and refunds, only the original purchaser.

8.6 While listed / if it doesn’t sell. While a Ticket is listed it is void for entry and will not scan at the door. You may cancel a listing at any time before it sells. If a listed Ticket has not sold by 24 hours before the Event, it is automatically taken off resale and returned to you, valid again.

9. Liability

9.1 The Organiser is responsible for the Event. To the fullest extent permitted by law, neither FoundTix nor the Organiser is liable for personal injury, illness, property damage or other loss arising from your attendance at an Event, except where such liability cannot be excluded by law.

9.2 You accept the inherent risks of attending an Event, which depending on the Event may include loud music, strobe and other lighting effects, large crowds, or other hazards.

9.3 Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including your statutory rights as a consumer.

10. Force majeure

10.1 Neither FoundTix nor the Organiser is liable for any failure or delay in performance caused by events beyond reasonable control. Where an Event cannot proceed for such reasons and will not be rescheduled, refunds are handled in accordance with clause 6.2.

11. Data protection

11.1 We process your personal data in accordance with our Privacy Policy and applicable data protection law, including the UK GDPR. Please see our Privacy Policy for details of what we collect and how it is used.

12. Governing law

12.1 These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.

13. Changes to these Terms

13.1 We may update these Terms from time to time. The version in force at the time of your purchase applies to that purchase.
